BYLAWS OF THE McLEAN SCHOOL PARENTS ASSOCIATION
ARTICLE I
NAME AND PURPOSE
The name of the organization shall be the McLean School Parents Association (the “Association”).
The purpose of this Association is to promote the general welfare, and support the priorities and mission, of the McLean School of Maryland (the “McLean School”). The Mission Statement of the Association is attached to these Bylaws as Exhibit A.
MEMBERSHIP
All
parents or legal guardians who currently have children enrolled in McLean School are members of
the Association (the “Membership”).
Executive Committee
The day to day affairs of the Association shall be directed by the Executive Committee of the Association.
1. The Executive Committee shall consist of at least five (5), and no more than eleven (11), members.
2. The Executive Committee will meet at such time or times as deemed necessary by said Executive Committee, with such notice of meeting as the Executive Committee may from time to time determine. A quorum for any meeting of the Executive Committee shall be a majority of the members present.
3. The Executive Committee shall initiate and undertake the stated purpose of the Association, consistent with the Mission Statement and with the policies of the McLean School.
Specific responsibilities of the Executive Committee are to:
1. Develop and submit to the Membership, at the fall meeting, a report defining the objectives of the Association for the coming year, (the Annual Report).
2. Develop the PA Annual Budget for the fall meeting.
3. Supervise the expenditure of any funds by the Association, pursuant to the approved PA Annual Budget.
4. Keep the Administration and Membership informed of formal PA actions.
ARTICLE IV
OFFICERS OF THE Executive Committee
The officers of this Association shall be a President one or more Executive Vice President(s), Secretary, Treasurer, and, in an ex-officio capacity, the immediate past president. The Executive Committee may also include such other officers, with such other titles, as determined by the Executive Committee. The duties of the officers of the Executive Committee shall be as described below:
PRESIDENT
1. Act as the spokesperson for the Association and maintain communications with and report to the Administration.
2. Preside over all meetings of the Executive Committee and of the Association.
3. Supervise the functions of other officers.
4. Coordinate the content of the agenda of each meeting.
5. Serve as a non-voting member of the McLean School Board of Trustees.
EXECUTIVE VICE PRESIDENT(S)
1. Coordinate with the President.
2. Report to the Executive Committee with respect to such duties as is assigned to the Executive Vice President(s).
3. Assume any or all of the responsibilities of the President in the event the President is unable to do so. The Executive Committee will decide which Executive Vice President will take over the Presidents duties if he/she is unable to continue in that position.
SECRETARY
1. Record minutes of each meeting of the Executive Committee and Membership and keep current files.
2. Send copies of minutes of such meetings to the members of the Executive Committee and/or Membership prior to the next meeting.
3. Notify Membership of all regular and special meetings of the Association.
4. Ensure that the minutes from prior meetings are approved by the Executive Committee
5. Collect reports of activities as appropriate.
6. Create PA Annual Report.
TREASURER
1. Approve all receipts and expenditures of funds by the Association pursuant to the Annual Budget.
2. Maintain accurate records of all financial transactions by the Association including any funds held by the Association.
3. Develop and publishes an annual Financial Report for presentation to the membership.
IMMEDIATE PAST PRESIDENT
1. Provide support and guidance to the Executive Committee
2. Perform such duties as are mutually agreed to by the current and past
President.
ARTICLE V
MEETINGS OF MEMBERSHIP
At least two meetings of the Membership (the “Memberships Meeting (s)”) will be held and will be open to the Membership. One meeting in the Fall will be to approve the Annual Report and Budget. The second meeting, held in the Spring, will be to elect officers for the coming year and to present the current year Financial Report.
1. The dates of the Membership Meetings will be scheduled by the Executive Committee at least ten (10) days email or written notice of such Membership Meeting will be given to the membership.
2. Special Membership meetings may be called at the direction of the Executive Committee or can be petitioned by written notice of at least ten (10) percent of the full membership. This notice will be given to the President of the PA.
3. Minutes will be taken at any Membership Meeting by the Secretary of the Executive Committee (or his/her designee).
4. A majority vote of members present at a duly called Membership Meeting of the Association will constitute formal action by the Association, unless these Bylaws expressly provide for a larger majority.
ARTICLE VI
AMENDMENTS
The Bylaws, and the attached Mission Statement, may be amended only by a majority vote of the Membership present at any regular or special meeting of the Association, with the consent of the Board of Trustees, provided that email or written notice of the proposed change in the Bylaws and/or Mission Statement is sent to the Membership, along with the notice of the meeting, at least ten (10) days prior to the scheduled date of such regular or special meeting.
ARTICLE VII
ELECTIONS
1. The President of the Association shall appoint a nominating committee (the “Nominating Committee”) composed of at least three (3) persons who are part of the Membership. The Head of School or designee will be an ex-officio member of this committee. The President and Executive Vice President(s) may not serve on this committee. The Nominating Committee shall select a slate of officer candidates to be presented to the Membership. The selection of the incoming President of the Association shall require the approval of the Head of School and the Board of Trustees before the slate is sent to the Membership. The Nominating Committee shall distribute such slate of candidates to the Membership by email or written notice at least ten (10) days prior to the Spring Meeting (or such other meeting of the Membership called specifically to elect officers).
2. The President, Executive Vice President(s), Secretary, and Treasurer (and any other officers to be elected) shall be elected by a majority of the Members present at the Spring Meeting.
3. The term of each office is one year.
4. Vacancies for any position on the Executive Committee occurring during any term may be filled by anyone who is part of the Memberhsip, as determined by the Executive Committee, acting by majority vote of the Executive Committee, with the concurrence of the President. Any person so elected shall serve the unexpired term of the officer such person is replacing. The action of the Executive Committee in filling a vacancy in the Office of the President shall also require the concurrence of the Head of School and the Board of Trustees.
ARTICLE VIII
STATEMENT OF OPERATING PRINCIPLES
The Statement of Operating Principles of the Association, attached to these Bylaws as Exhibit B, was adopted by the Association, the Trustees and the Head of School in May of 2004. The Statement of Operating Principles is designed to provide guidance to the Association regarding its mission, structure and operations.
These Bylaws were approved by the Board of Trustees and the Parents Association Executive Committee and were adopted by the membership of the Association at the Spring Meeting 2005, and shall remain in force until amended in accordance with the provisions of these Bylaws.
Exhibit A
Mission Statement
The mission of the Parents Association of the McLean School is to promote partnership between the parents and the school in support of the priorities and mission of the McLean School by:
· Encouraging school spirit, family participation and an inclusive community;
· Facilitating communication within the McLean community; and
· Supporting, promoting, and coordinating volunteer efforts and leadership.
